1. Who we are and when these terms apply
LocalShopCart is operated by Minervit LLC, based in Ohio, USA. “We,” “us,” and “our” mean LocalShopCart, operated by Minervit LLC. These terms govern use of our websites and the Butcher ordering application made available to participating local shops, including Special T Meats (the “Service”). The shop identified on your storefront is the “Shop.”
When you affirmatively accept these terms during account registration or order submission, you enter into this agreement with us. Please read the terms and the linked Privacy Policy before accepting. If you do not agree, do not register or submit an order through the Service. Our Privacy Policy explains our information practices; accepting these terms does not give consent to optional text messaging.
You must be at least 18 and legally able to enter this agreement to create an account or submit an order request. If you act for a business, you must have authority to bind it. Authorized Shop users are also subject to the Shop's agreement with us.
2. The platform and the Shop have different roles
We provide software for browsing products, submitting pickup requests, managing orders and accounts, and communicating order updates. The Shop sells and prepares the products. The Shop is responsible for its product descriptions, pricing, availability, food handling, labeling, taxes, and fulfillment. Buying food from a Shop does not make Minervit LLC the food seller, manufacturer, or delivery provider.
These terms govern your use of our software. Shop purchase terms disclosed before you order govern the sale by that Shop, subject to applicable law. Nothing in these terms removes responsibility that the law places on us or on a Shop.
3. Pickup requests, confirmation, and pricing
Submitting an order is a pickup order REQUEST. It remains pending until the Shop's Head Butcher reviews it and confirms or declines it. An acknowledgment, verification code, or request number is not confirmation that products are available. Requested pickup times are subject to Shop confirmation.
Product images are illustrative. Cuts, quantities, packaging, and weights may vary. Where pricing is based on weight, the final price is determined from actual weight at pickup. A displayed estimate is not a charge or a guaranteed final total. Items marked “priced at pickup” may not be included in a displayed estimate. Ask the Shop to explain the price, applicable taxes, and any proposed changes before completing your purchase.
The Shop may contact you about availability, an error, or a requested change. Submission does not authorize substitutions or material changes you have not agreed to. Contact the Shop directly for changes, cancellations, late arrival, or collection questions; changes may not be possible once preparation begins. These terms do not create a cancellation or no-show fee.
4. Payment and product concerns
Payment is taken in person, at the Shop, when you collect your order. The Service does not currently support online payment, deposits, or refunds through the Service. No deposit is collected when you submit a request. Questions about an in-store payment, return, refund, quality issue, or missing item should go to the Shop. The absence of an online refund feature does not remove any right you have against the Shop under applicable law.
Tell the Shop directly about allergies, dietary restrictions, or special handling needs and obtain confirmation that it can accommodate them. An order note alone does not establish that a product is allergen-free or that cross-contact can be prevented. Follow the Shop's storage, handling, and cooking instructions after pickup. Nothing here waives food-safety obligations or liability that cannot legally be excluded.
5. Guest ordering, accounts, and verification
You do not need to create an account to place a pickup request. You must provide accurate contact and order information and complete the verification steps shown at checkout. Current checkout requires a verified email address; verification of a phone number may also be required for text-related features. Use only contact information you control or are authorized to use.
If you create an account, protect your credentials, verification codes, and private order links. Do not share staff credentials or use another person's account. Notify support if you suspect unauthorized access. You are responsible for your own use and actions you authorize, but these terms do not automatically make you liable for every unauthorized act by someone else.
6. Order communications and verification messages
The Service uses contact details to verify requests and communicate about orders. Where offered, requesting a verification code authorizes the requested verification message; it does not subscribe you to recurring order-status texts. Email order notifications follow the disclosure shown at checkout and provide an unsubscribe method. If you stop receiving updates, contact the Shop directly to check the status of an outstanding request.
SMS text messaging program
If you check the SMS opt-in box at checkout, LocalShopCart (Minervit LLC) sends you text messages about your order's status on the shop's behalf — for example when it is accepted, ready, or declined. Each message is prefixed with the shop's name, so a text about a Special T Meats order begins “Special T Meats via LocalShopCart”. These are transactional messages only; we never send marketing texts.

- Reply STOP to cancel text messages at any time, or HELP for help.
- Carriers are not liable for delayed or undelivered messages.
Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties. How we handle your number and your consent is set out in our Privacy Policy.
SMS order updates are optional and are not a condition of purchase. Accepting these terms, supplying a phone number, or requesting a verification code does not replace the separate SMS opt-in. Opting out of texts does not cancel your order. Contact support@localshopcart.com for assistance. Messages may be delayed or unavailable; use the Shop's contact details for time-sensitive questions.
7. Acceptable use and ownership
Use the Service for genuine orders and authorized Shop operations. Do not submit fraudulent requests, impersonate another person, harass staff, send unlawful material, obtain another customer's data, bypass security or access controls, or interfere with the Service. Do not use automated tools to extract private information or disrupt availability. These restrictions do not prohibit activity the law protects.
We and our licensors retain rights in our software, branding, and original materials. Shops retain rights in their own materials. We give you a limited, nonexclusive permission to use the Service for its intended purposes while you comply with these terms.
You retain rights in material you submit. You permit us and necessary service providers to use it to process requests, operate the Service, respond to support or feedback, and maintain relevant records, subject to our Privacy Policy. Feedback may inform product improvements without payment to you; this does not authorize publication of your personal information or customer content for advertising.
8. Availability, suspension, and ending use
We may maintain, improve, or discontinue features. We may restrict access where reasonably necessary to address fraud, abuse, a security threat, unlawful use, or a material breach of these terms. Where practical, we will explain the restriction and provide a way to contact support. Contact the Shop about pending orders if access is interrupted.
You may stop using the Service at any time and contact support about closing an account. Account closure, uninstalling an app, or clearing browser storage does not itself cancel a Shop order or erase records described in the Privacy Policy. To request deletion, follow the Privacy Policy; we honor deletion requests where required by law by removing or redacting personal information. Order records themselves are kept for accounting.
9. Disclaimers and limits
To the extent permitted by law, the Service is provided “as is” and “as available.” We do not promise uninterrupted or error-free operation, acceptance of every order request, or delivery of every notification. To that same extent, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement for the software Service.
To the extent permitted by law, Minervit LLC is not liable for indirect, incidental, special, or consequential loss arising from use of the Service, including lost business profits. This provision does not exclude liability for our fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability or consumer remedy that applicable law does not allow us to exclude. It does not limit the Shop's obligations for the food it sells. If a limitation is not permitted where you live, it applies only to the extent permitted there.
10. Disputes, changes, and general terms
For a Service dispute, contact legal@minervit.ai so we can try to resolve it. You retain access to courts, small-claims procedures, and regulators as provided by applicable law. These terms do not impose mandatory arbitration, a class-action waiver, or a special shortened deadline for claims.
We will identify updated terms with a new effective date. Material changes will be brought to your attention through the Service or another appropriate channel before applying to you, and we will obtain renewed agreement where required. Changes apply prospectively and do not rewrite an already submitted order or expand existing SMS consent.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. These terms, together with any separately accepted agreement applicable to your use, govern the software relationship; they do not supersede mandatory consumer protections.
